By accessing or using Closing Code AI and the Hermes Context Engine (HCE) at hce.closingcodeai.online (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in full, you may not access or use the Service.
Your continued use of the Service following any posted updates constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
Closing Code AI provides an AI-powered sales call analysis platform, including the Hermes Context Engine (HCE), designed to help sales professionals and teams review and improve call performance using the QC 4.1 methodology.
The Service includes a hosted web application at hce.closingcodeai.online/app/, a self-assessment tool ("My Diagnosis"), cloud-based call analysis, and tiered access plans ranging from a free signal-lite tier to paid professional plans. HCE is an open-source psychology layer integrated into the platform. Features and availability may vary by plan.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to create an account and use the Service. By registering, you represent that all information you provide is accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials, including any API keys stored on our platform, and for all activity that occurs under your account. You agree to notify us immediately at support@mail.closingcodeai.online if you suspect any unauthorized use of your account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. When uploading call audio, you are solely responsible for obtaining all legally required consents from all parties on the recording under applicable wiretapping, call-recording, and data-protection laws in your jurisdiction.
You may not attempt to reverse engineer, decompile, scrape, or systematically access the Service, its APIs, or its underlying technology. You may not use the Service to infringe the rights of others, distribute malware, circumvent security controls, or engage in any activity that disrupts or degrades Service performance for other users.
The Service, including the QC 4.1 methodology, the HCE open-source psychology layer, all platform software, interfaces, and associated documentation, is owned by Closing Code AI or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of Closing Code AI's intellectual property to you.
You retain full ownership of the audio files, transcripts, and analysis outputs generated from your content. You grant Closing Code AI a limited, non-exclusive, non-transferable license to process your content solely to provide and maintain the Service. We do not use your call recordings or derived data to train AI or machine-learning models.
Paid plans are offered at $19 (Entry), $49 (Starter), and $79 (Professional) and are processed through Whop, our third-party payment and subscription management provider. By subscribing to a paid plan, you agree to Whop's applicable terms and conditions in addition to these Terms. Closing Code AI does not store your payment card information.
Subscription fees are charged at the rates displayed at checkout and are generally non-refundable except as required by applicable law or as otherwise stated during the purchase flow. You may cancel your subscription at any time through your Whop account dashboard; cancellation takes effect at the end of the current billing period.
The Service offers a free signal-lite tier accessible via email gate and a one-time QC cloud trial limited to one (1) free analysis per email address and IP address. The "My Diagnosis" feature is available on the hosted application up to ten (10) times per day per session.
Trial access may be modified or revoked at any time without prior notice. Circumventing trial limits through the use of multiple email addresses, IP addresses, or other means is a violation of these Terms and may result in immediate suspension or termination of your access.
The Service is provided for informational and sales-performance improvement purposes only. Nothing in the Service or its outputs constitutes legal, financial, regulatory, compliance, or professional advice of any kind. You should not rely solely on AI-generated analysis outputs as the basis for any business, legal, or financial decision.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that analysis results will be accurate or complete.
To the maximum extent permitted by applicable law, Closing Code AI and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, loss of data, or business interruption—arising out of or related to your use of or inability to use the Service.
Our total aggregate liability to you for any and all claims arising under or related to these Terms shall not exceed the greater of (a) the total amounts you paid to us in the twelve (12) months immediately preceding the claim or (b) one hundred US dollars ($100). Some jurisdictions do not permit the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe your conduct violates these Terms, is harmful to other users or third parties, or exposes Closing Code AI to legal or reputational risk.
You may terminate your account at any time by contacting support@mail.closingcodeai.online. Upon termination for any reason, your right to access and use the Service ceases immediately. Sections that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, and governing law—will remain in effect.
We reserve the right to update or modify these Terms at any time at our sole discretion. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where reasonably practicable, by email to registered users.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with a material change, your sole remedy is to discontinue use of the Service and cancel your account.

Las tarifas de suscripción se cobran según los precios indicados en el momento de la compra y, en general, no son reembolsables, salvo lo exigido por la legislación aplicable o lo indicado expresamente durante el proceso de compra. No garantizamos que el Servicio sea ininterrumpido, libre de errores ni que los resultados de los análisis sean precisos o completos.
